Hendrick Health System Enters into Agreement to Sell Mesa Springs Retirement Village and Mesa Springs Healthcare Center to Sears Methodist Retirement System, Inc.

• After considerable planning and careful consideration for our employees and residents’ best interests over time, Hendrick is entering into an agreement with Sears Methodist Retirement System that will culminate in the sale of Mesa Springs Retirement Village and Healthcare Center in March 2008.
• Hendrick is still in discussions with Sears about an agreement for them to purchase Wisteria Place, but nothing final has been settled.
• Sears is assuming management of the Mesa Springs entities effective January 1, 2008.
  
• Sears intends to honor the Mesa Springs employees’ years of service with Hendrick Health System in their current positions with Mesa Springs.
  
• No major job fluctuations or net loss of jobs is expected.
  
• Both Boards of Trustees – Hendrick and Sears - approved this agreement.
  
• This arrangement is the outcome of discussions which began several years ago with Keith Perry, President/CEO of Sears Methodist Retirement System, and Tim Lancaster, Hendrick President & CEO, as they discussed how the two not-for-profit organizations could work together as they plan their futures.
  
• Both entities have been successful at providing retirement living, and yet Sears is honing retirement living as their core service – and at the same time, Hendrick is focusing on the healthcare realm as their core service.
  
• This was a natural coalition – both not-for-profits --- both faith-based institutions and both actively involved in this community with longstanding reputations for quality.
  
• This coalition gives Hendrick the opportunity to make decisions that benefit the residents and also to ultimately grow Abilene both as a medical hub and as a vibrant retirement community.
